Terms of sale

1. Seller

So Sponge SAS, share capital €45,000, registered with the Lyon Trade and Companies Register under number 947 963 096 (SIRET 947 963 096 00013), EU VAT number FR38947963096, registered office 5 avenue Gaston Berger, Axel'One, 69100 Villeurbanne, France. 2. Scope

These terms govern every order placed on the sosponge.com online shop ("Shop" pages). They are primarily intended for business customers (installers, integrators, companies). The provisions specific to consumers (sections 8.2 and 9.2) apply when the buyer is an individual acting for non-professional purposes. Placing an order implies full acceptance of these terms, which are recalled before payment.

3. Products

The products sold are AirSponge AS-B rolls (50 × 20 mm stickers) and AS-C rolls (80 mm ribbon), self-regenerating desiccants based on mesoporous alumina, made in France. Characteristics, formats and references are given on the product pages. Sizing (number of stickers or segments per enclosure) is the buyer's responsibility; So Sponge provides tools and recommendations for guidance only.

4. Prices

Prices are shown in euros, excluding and including VAT (French VAT at 20%). The VAT actually invoiced is computed at payment according to the delivery country and the buyer's status:

• France: VAT at the applicable rate.
• Other European Union country: reverse charge for a VAT-registered buyer who provides a valid intra-EU VAT number; French VAT otherwise.
• Outside the European Union: sale exempt from VAT (export, article 262 I of the French General Tax Code).

Shipping costs are shown before payment and are added to the price of the products (section 7). For the United States, import duties are charged as a separate line and paid by So Sponge (Delivered Duty Paid, Incoterm DDP). For other destinations outside the European Union, any import duties and taxes remain payable by the recipient (Incoterm DAP). Amounts shown for information in a currency other than the euro are not binding: the charge is made in euros.

5. Ordering

Orders are placed online: choice of reference and quantity, entry of billing and delivery details, payment. The order is firm once payment is received. A confirmation email with the order details and the PDF invoice is sent to the address provided. So Sponge may refuse or cancel an order in the event of a prior dispute, product unavailability or an obvious pricing error; any amounts paid are then refunded.

6. Payment

Payment is made in full, by card, through the secure Stripe platform. So Sponge has no access to card data. The invoice is issued in the name and billing address entered; for business customers it shows the VAT number provided.

7. Shipping

Products are shipped from Villeurbanne (France) by Colissimo or an equivalent carrier, with tracking, to the delivery address provided. Shipping costs: Europe €15 excl. VAT (€18 incl. VAT), United States €45 (import duties in addition, charged at checkout), rest of world €30.

Product in stock: dispatch within 1 to 3 business days, then 2 to 7 business days in transit in Europe, 5 to 8 business days to the United States, 5 to 12 business days elsewhere. Product on pre-order (stated on the product page): the dispatch date is confirmed by email after the order and does not exceed 6 weeks; beyond that, the buyer may cancel and obtain a full refund.

Delivery times are indicative. Risk passes on delivery. The buyer checks the parcel on receipt and reports any damage or missing item to the carrier and to So Sponge within 48 hours. For deliveries outside the European Union, the buyer is the importer of the goods and complies with local regulations.

8. Returns and withdrawal

8.1 Business customers

So Sponge accepts the return of unopened products, in their intact original packaging, within 14 days of receipt. Requests are sent to sales@sosponge.com with the order number; So Sponge provides the return address. Return costs are borne by the buyer. The price of the returned products (excluding the initial shipping costs) is refunded within 14 days of receipt and inspection of the products, by the same payment method. Opened, partly used or installed products are not taken back.

8.2 Consumers

Consumers have a 14-day withdrawal period from receipt of the product, without having to give a reason (articles L.221-18 et seq. of the French Consumer Code). They notify their decision to sales@sosponge.com or by any unambiguous written statement, then return the product within 14 days at their own cost. So Sponge refunds all amounts paid, including standard shipping costs, within 14 days of receiving the return or the proof of dispatch. The consumer may be liable for any diminished value resulting from handling other than what is necessary to establish the nature and functioning of the product.

9. Warranties

9.1 Business customers

Products are warranted against material and manufacturing defects for 12 months from delivery. The warranty is limited, at So Sponge's option, to the replacement or refund of the product found defective, to the exclusion of any other damage. It does not cover the consequences of installation or sizing that departs from the recommendations, or use outside the specified range.

9.2 Consumers

Consumers benefit from the statutory warranty of conformity (articles L.217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (articles 1641 et seq. of the French Civil Code), under the conditions provided by law.

10. Retention of title

Products remain the property of So Sponge until full payment of the price. Risk nevertheless passes on delivery.

11. Liability

AirSponge products are passive humidity-control devices. Their effectiveness depends on the volume, sealing and exposure conditions of the equipment, which are the buyer's responsibility. So Sponge's liability is in any event limited to the amount of the order concerned.

12. Personal data

Data collected when ordering is needed to process, invoice and ship the order. It is handled in accordance with the privacy policy. Payment is processed by Stripe, which acts as data controller for payment data.

13. Governing law and disputes

These terms are governed by French law. Any dispute with a business customer falls under the jurisdiction of the Lyon Commercial Court. Consumers may use, free of charge, the consumer mediator CM2C (14 rue Saint-Jean, 75017 Paris, www.cm2c.net) or the European online dispute resolution platform (ec.europa.eu/consumers/odr).
